Transmitted herewith is a resolution approving a Supplemental Agreement to allow additional
funding for the reconstruction and widening of the existing West Center Road at-grade public
road crossing at or near 156th Street, at the Union Pacific Railroad Company's (Railroad) Mile
Post 24.93 on its Millard Industrial Lead (DOT No. 816-928N). The Public Road Crossing
Improvement Agreement between the Railroad and the City of Omaha was approved by City
Council Resolution 32 on January 12, 2010
The Railroad originally estimated the cost of this work to be $140,211.00 as detailed in Exhibit
"B" of the attached agreement, however, the actual cost of the project is now known to be
$240,127.00. The Railroad will perform the work, and the City will reimburse the Railroad for
one hundred (100%) of the actual costs. The additional cost of$99,916.00 will be paid from the
2006 Transportation Bond Fund 13182, 2010 Issue Transportation Bond Organization 117115,
with 80% of the cost eligible for reimbursement from the Nebraska Department of Roads.
The Public Works Department requests your consideration and approval the attached resolution
and agreement.

THIS SUPPLEMENTAL AGREEMENT is made as of the 4day of

RECITALS:
By instrument dated August 15, 1958,the parties hereto or their predecessors in interest(if
any), entered into an agreement(herein the "Basic Agreement") identified as Railroad's Audit No.
92183,covering the construction,maintenance and use of the West Center Road at-grade public road
crossing,(DOT No. 816-928N),located at Mile Post 24.93 on its Millard Industrial Lead in Omaha,
Douglas County,Nebraska(hereinafter the "Roadway").
By Supplemental Agreement dated January 12, 2010, the parties hereto amended the
agreement to reconstruct and widen the Roadway.
The parties now desire to modify the Supplemental Agreement by adding additional Railroad
Cost Estimates.

NOW,THEREFORE, IT IS AGREED by and between the parties hereto as follows:

SECTION 2 - EFFECTIVE DATE
This Supplemental Agreement shall be effective as of the date herein written.
SECTION 3- AGREEMENT SUPPLEMENTAL
This agreement is supplemental to the Basic Agreement, as herein amended, and nothing
herein contained shall be construed as amending or modifying the same except as herein specifically
provided.

WHEREAS, the City of Omaha (City) is desirous to make improvements :by the
reconstruction and widening of the existing West Center Road at-grade public road crossing, at

WHEREAS, the City entered into an agreement with the Railroad to perform this work
by City Council Resolution 32 on January 12, 2010; and,
WHEREAS, the cost of this work, originally estimated to be $140,211.00, is now known
to require an additional $99,916.00 for a total project cost of $240,127, as outlined in the
attached Supplemental Agreement, which by this reference becomes a part hereof; and,
WHEREAS, this additional cost will be paid from the 2006 Transportation Bond Fund
13182, 2010 Issue Transportation Bond Organization 117115, with 80% of the cost eligible for

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
THAT, as recommended by the Mayor, the Supplemental Agreement with Union Pacific
Railroad Company (Railroad) for additional costs associated with the Railroad performing
reconstruction and widening of the existing West Center Road at-grade public road crossing, at
or near 156th Street, at the Railroad's Mile Post 24.93 on its Millard Industrial Lead (DOT No.
816-928N), is hereby approved.
BE IT FURTHER RESOLVED:
THAT the Finance Department is authorized to pay the additional sum of $99,916.00

5. Sediment and Erosion Control Plan: A Sediment and Erosion Control Plan has been
previously approved and permits issued by the NDEQ, Papio Missouri River Natural
Resources District and the City of Omaha a copy of which is attached hereto and
incorporated herein as Exhibit "C". The initial construction cost of grading and piping for
temporary sediment and erosion control facilities shall be paid for privately by the
