Jim Suttle,Mayor Public Works Director Honorable President and Members of the City Council, Transmitted herewith is a Resolution approving an Agreement for Professional Services with Trans-Continental Consultants, Inc. for construction observation/inspection and project management services for construction projects at various City facilities. The Capital Improvement Program (CIP) lays out a funding plan that includes an ongoing effort to provide the construction of new facilities and the renovation of many of the existing City owned and operated facilities. The purpose of this Professional Services Agreement is to complement the current efforts of the Facilities Management Division staff by providing the construction management needs as dictated by the overall demands of a varying project workload. Trans-Continental Consultant, Inc. has provided this service to the City of Omaha for more than five (5) years, in a proven and very successful manner, and it is fully anticipated that this same level of service can be provided through 2012. The consultant will provide construction management services on an hourly basis with a total cost not to exceed $129,160.00. Payments will be made form the various project funding sources as identified in the City's Capital Improvement Program (Public Facility Bond, Public Safety Bond, Library Capital Bond,MIRF, etc.). Trans-Continental Consultants, Inc. has filed the required Annual Contract Compliance Report Form(CC-1) in the Human Rights and Relations Department. (hereinafter referred to as the "Provider"), on the terms,conditions and provisions as set forth herein below. I. PROJECT NAME AND DESCRIPTION Construction observation employees to monitor the City of Omaha construction projects. II. DUTIES OF PROVIDER A. Provider agrees to perform professional services, as set out and more fully described in the Proposal attached hereto, for the City, relative to the above-referenced project which is illustrated in Exhibit"A" attached hereto. Such services shall be completed within a 365 day period after receipt of a purchase order from the City. B. Provider designates Shan Batheja whose business address and phone number are 9906 Essex Drive, Omaha, NE 68114, 402-551-7059 as its project manager and contact person for this project. C. Provider agrees to maintain records and accounts, including personnel, financial and property records, sufficient to identify and account for all costs pertaining to the project and certain other records as may be required by the City to assure a proper accounting for all project funds. These records shall be made available to the City for audit purposes and shall be retained for a period of five(5)years after the expiration of this Agreement. D. Provider agrees to prepare a schedule of compensation, detailing hourly rates for all compensated providers,employees,and subcontractors. E. Provider agrees to complete, within 365 calendar days of receipt of a purchase order from the City, the necessary services. The City recognizes that completion within this deadline is contingent upon timely response from utilities and City input. F. Provider agrees to have a current Contract Compliance Form (CC-1) on file with the City's Human Rights and Relations Department prior to signing the agreement. III. DUTIES OF CITY A. The cost of services as specified in the Scope of Service, shall be performed on an hourly basis, but in no event shall exceed $129,160.00. Detailed breakdown of costs shall be shown in Exhibit`B". B. Reimbursable expenses shall be billed to the City by the Provider. C. INCREASE OF FEES The parties hereto acknowledge that, as of the date of the execution of the Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchases which taken alone increase the original fee as awarded (a) by ten percent, if the original fee is one hundred fifty thousand dollars ($150,000)or more,or(b)by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the city council. The provisions of this section will be quoted in all future city contracts. Nothing in this section is intended to alter the authority of the mayor under section 5.16 of the Charter to approve immediate purchases. V. OWNERSHIP OF INSTRUMENTS OF SERVICE The City acknowledges the Provider's construction documents, including electronic files,as instruments of professional service.Nevertheless,upon completion of the services and payment in full of all monies due to the Provider,the final construction documents prepared under this Agreement shall become the property of the City. The City shall not reuse at another site or make any modification to the construction documents without the prior written authorization of the Provider. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers, directors, employees and subconsultants(collectively,Provider)against any damages, liabilities or costs, including reasonable attorneys'fees and defense costs,arising from or in any way connected with the unauthorized reuse or modification of the construction documents by the City, regardless of whether such reuse or modification is for use at the Project site or another site. VI. ADDITIONAL SERVICES In the event additional services for the aforementioned project not covered under this Agreement are required,Provider agrees to provide such services at a mutually agreed upon cost. INDEMNIFICATION The Provider agrees,to the fullest extent permitted by law,to indemnify and hold harmless the City, its officers, directors and employees(collectively,City)against all damages, liabilities or costs, including reasonable attorneys'fees and defense costs,to the extent caused by the Provider's negligent performance of services under this Agreement. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers, directors, employees and subconsultants(collectively,Provider)against all damages, liabilities or costs, including reasonable attorneys'fees and defense costs in connection with the Services,to the extent caused by the City's negligent acts or the negligent acts of anyone for whom the City is legally liable. Neither the City nor the Provider shall be obligated to indemnify the other party in any manner whatsoever for the other party's own negligence. IX. TERMINATION OF AGREEMENT This Agreement may be terminated by the City upon written notice to the provider of such termination and specifying the effective date at least seven (7) days prior to the effective date of such termination. In the event of termination, the provider shall be entitled to just and equitable payment for services rendered to the date of termination, and all finished or unfinished documents, data surveys, studies, drawings, maps, models, reports or photographs shall become, at the City's option, its property. X. GENERAL CONDITIONS A. Non-discrimination. Provider shall not, in the performance of this Agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sec, age, or disability as recognized under 42 USCS 12101 et seq. and Omaha Municipal Code section 13-89, political or religious opinions, affiliations or national origin. B. Captions. Captions used in this Agreement are for convenience and are not used in the construction of this Agreement. C. Applicable Laws. Parties to this Agreement shall conform with all existing and applicable city ordinances, resolutions, state laws, federal laws, and existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this Agreement. D. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City Agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the Agreement voidable by the Mayor or Council. E. Interest of the Provider. The Provider covenants that he/she presently has no interest and shall not acquire any interest, direct or indirect, which would conflict with the performance of services required to be performed under this Agreement; he/she further covenants that in the performance of this Agreement,no person having any such interest shall be employed. F. Merger. This Agreement shall not be merged into any other oral or written agreement, lease or deed of any type. This Agreement contains the entire Agreement of the parties. No representations were made or relied upon by either party other than those that are expressly sat forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. H. Assignment. The Provider may not assign its rights under this Agreement without the express prior written consent of the City. Strict Compliance. All provisions of this Agreement and each and every document that shall be attached shall be strictly complied with as written, and no substitution or change shall be made except upon written direction from authorized representative. LB 403 Contract Provisions. -NEW EMPLOYEE WORK ELIGIBILITY STATUS-The Provider is required and hereby agrees to use a federal immigration verification system to determine the work eligibility status of new employees physically performing services within the State of Nebraska. A federal immigration verification system means the electronic verification of the work authorization program authorized by the Illegal Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a, known as the E-Verify Program, or an equivalent federal program designated by the United States Department of Homeland Security or other federal agency authorized to verify the work eligibility status of a newly hired employee. If the Provider is an individual or sole proprietorship,the following applies: 1. The Provider must complete the United States Citizenship Attestation Form, available on the Department of Administrative Services website at www.das.state.ne.us 2. If the Provider indicates on such attestation form that he or she is a qualified alien,the Provider agrees to provide the US Citizenship and Immigration Services documentation required to verify the Provider's lawful presence in the United States using the Systematic Alien Verification for Entitlements (SAVE) Program. 3. The Provider understands and agrees that lawful presence in the United States is required and the Provider may be disqualified or the contract terminated if such lawful presence cannot be verified as required by Neb. Rev. Stat. §4-108. K. Records accessible to the contract compliance officer shall be those which are related to paragraphs (1) through (7) of this subsection and only after reasonable notice is given the Provider. The purpose of this provision is to provide for investigation to ascertain compliance with the program provided for herein. 5) The Provider shall take such actions with respect to any subcontractor as the city may direct as a means of enforcing the provisions of paragraphs (1) through (7) herein, including penalties and sanctions for noncompliance; however, in the event the Provider becomes involved in or is threatened with litigation as the result of such directions by the city, the city will enter into such litigation as is necessary to protect the interests of the city and to effectuate these provisions (of this division); and in the case of contracts receiving federal assistance, the Provider or the city may request the United States to enter into such litigation to protect the interests of the United States. 6) The Provider shall file and shall cause his subcontractors, if any to file compliance reports with the contractor in the same form and to the same extent as required by the federal government for federal contracts under federal rules and regulations. Such compliance reports shall be filed with the contract compliance officer. The Provider will advertise, recruit, interview, select and hire personnel who in the opinion of the Provider are fully qualified to accomplish the work. The Provider shall: A) be the employer and shall maintain all personnel and payroll records for the employee; B) make all wage computations and perform all withholding applicable for federal, state and local taxes and Social Security contributions; C) make all payments and contributions to the proper governmental agencies and make all contributions for federal FICA and federal and state unemployment insurance payments; D) pay all wages and any applicable fringe benefits directly to each employee; E) provide all liability, fidelity and Worker's Compensation Insurance coverage in the amounts as established herein; and, F) in response to the City of Omaha, Public Works Director, remove any of the persons assigned under the agreement for any valid and legal reason; provided that the right of the Provider shall in no way be affected in their discretion as the employer to hire, terminate, assign or reassign its employees. Recruitment, hiring and employee release procedures are set forth in Exhibit"G". The City of Omaha shall provide a satisfactory and suitable location in the City offices for all Provider provided employees that complies with all applicable federal, state and local laws, rules and regulations including, but not limited to, health, safety and Americans with Disabilities Act (ADA). The City will provide copies of all rules and regulations peculiar to the City of Omaha to the Provider so the Provider may instruct employees as to the specific requirements of these rules and regulations. In the case that any work requires the use of any specialized personal safety equipment, the City will provide all such equipment. The City will review, audit, agree to and sign all work time cards presented by the employees every two (2) weeks and present same to the Provider within two (2) work days after receipt from the employees. Time cards submitted shall include the number of compensable hours worked by each applicable employee. The City's authorized signature will be designated in writing by the Contract Administrator. Provider shall, at Provider's own expense, supply all superintendence and all other things requisite to perform the services specified in the agreement except for specified items stipulated elsewhere in the agreement. All licenses and certificates specifically for staff Provider provided personnel required by any federal, state or local law, regulation or requirement that are necessary to perform the services agreed to shall be obtained by the Provider at the expense of the Provider. Training requirements of any federal, state, or local law, regulation or requirement necessary to perform work as a direct result of work site conditions such as OSHA safety training, hazardous material handling, etc., shall be provided by and at the expense of the City. (TCC) is a minority-owned firm, organized in 1980 to provide professional services in Contract Technical Services and Employee Leasing. Trans-Continental Consultants, Inc. is professionally qualified in the area of technical services as well as employee leasing. TCC has a strong, experienced, professional staff with specific experience in the area of contract technical services, in addition to a broad base of experience in the engineering and support disciplines. COMPANY GOALS To furnish our clients with the best possible and highest quality professional services. To earn the respect and confidence of our clients by serving them well. To strictly adhere to the codes of ethics governing the professions that pertain to the assignments of our employees. In the case that any work requires the use of any specialized personal safety equipment, the City will provide all such equipment. The City will review, audit, agree to and sign all work time cards presented by the employees every two (2) weeks and present same to the Provider within two (2) work days after receipt from the employees. Time cards submitted shall include the number of compensable hours worked by each applicable employee. The City's authorized signature will be designated in writing by the Contract Administrator. Provider shall, at Provider's own expense, supply all superintendence and all other things requisite to perform the services specified in the agreement except for specified items stipulated elsewhere in the agreement. All licenses and certificates specifically for staff Provider provided personnel required by any federal, state or local law, regulation or requirement that are necessary to perform the services agreed to shall be obtained by the Provider at the expense of the Provider. Training requirements of any federal, state, or local law, regulation or requirement necessary to perform work as a direct result of work site conditions such as OSHA safety training, hazardous material handling, etc., shall be provided by and at the expense of the City. Deliberate and/or repeated jokes, remarks, stories, gestures or conversations which are derogatory to either gender, race, ethnic background, age, handicap, or religion. 2. The display or circulation of written materials or pictures which are derogatory to either gender, race, ethnic background, age, handicap, or religion. 3. The discussion of false and/or unsubstantiated statements regarding another person's work or private life. 4. Retaliation against employees for complaining about and/or reporting harassment as delineated above. Sexual harassment includes, but is not limited to, the following: 1. Deliberate and/or repeated unsolicited verbal comments, gestures or physical contacts of a sexual nature or undertone, which are unwelcome by any member of the staff. 2. Threats, promises, acts or suggestions, either direct or implied, which make the employee's acceptance or rejection of such conduct a condition of employment, or affects an employee's evaluation, wage, advancements, assigned duties, shifts or any other condition of employment or career development. 3. Sexually harassing conduct in the work place, whether committed by supervisory or non-supervisory personnel, which creates an intimidating, hostile, or offensive work environment, and/or interferes with an individual's performance. Sexual harassment does not mean occasional compliments of a socially acceptable nature, good-natured social conversation, or private mutual relationships between individuals which are consensual or have no connection to the workplace. An employee who believes that he/she has been the victim of harassment, or who has any knowledge of that kind of behavior, shall report the incident to Trans-Continental Consultants, Inc. The purpose of this policy is to formulate and implement an on-going program that will establish and maintain the highest standards of an efficient, healthy working environment. This policy is intended to protect the firm's property, equipment, and operations and to protect the safety of the general public, including employees of the firm. A drug-free workplace will be maintained to ensure the reputation, confidence and quality of the firm with the community and our industry. Employees are required to report to work and remain at work in a non- impaired state. "Impaired" means under the influence of a substance such that the employee's motor senses (i.e. sight, hearing, balance, reaction, reflex) or judgement either are or may be reasonably presumed to be affected. No employee at any work site will possess any quantity of any substance, drug or alcohol, lawful or unlawful, which in sufficient quantity could result impaired performance, except for authorized substances. "Work Site" means any office, building or property (including parking lots) owned or operated by the employer, or any other site at which an employee is to perform work for the employer. "Possess" means to have either in or on an employee's person, personal effects, motor vehicles, tools, and areas substantially entrusted to the control of the employee such as desks and files. Any violation of this policy may result in summary discipline, up to and including discharge. For the purpose of assuring compliance with the prohibition of possession, employees may be subject to inspection of the kind and extent described below. Any refusal to submit to such an inspection will be treated as an act of insubordination, with attendant disciplinary consequences. An employee's work area, desk, files, and similar areas are subject to inspection at any time on a random or any other nondiscriminatory basis for purposes of this program. Similarly, an employee's own car, lunch box, and like personal containers are subject to such inspection when brought onto any work site. 6 ized signature will be designated in writing by the Contract Administrator. Provider shall, at Provider's own expense, supply all superintendence and all other things requisite to perform the services specified in the agreement except for specified items stipulated elsewhere in the agreement. All licenses and certificates specifically for staff Provider provided personnel required by any federal, state or local law, regulation or requirement that are necessary to perform the services agreed to shall be obtained by the Provider at the expense of the Provider. Training requirements of any federal, state, or local law, regulation or requirement necessary to perform work as a direct result of work site conditions such as OSHA safety training, hazardous material handling, etc., shall be provided by and at the expense of the City. Omaha Municipal Code (Chapter 13) including, but not limited to, reasonable accommodation. As used herein, the word "treated" shall mean and include, without limitation, the following: Recruited, whether advertising or by other means; compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and terminated. Encourage affected individuals to seek medical help voluntarily at an early stage. 2. Assist supervisors in dealing with associated problems related to work performance. 3. Discourage supervisors, fellow employees, and possible family members from "covering up" for the affected individual. If the employee seeks help prior to discovery, then confidentiality, job security, and promotional opportunities will be protected. If the employee does not seek help and the problem comes to the attention of the Company, then disciplinary action will be taken including possible discharge. PERSONNEL RECORDS A personnel file will be maintained for each employee, indicating education, experience records and other job-related information. These records are used for complying with governmental regulations as well as determining an employee's eligibility for rate of pay increases or promotion. It is the employee's responsibility to help keep his/her file current by informing Trans-Continental Consultants, Inc. of any changes of home address, personal telephone number, additional education, family status, etc. APPRAISAL PROGRAM There is no set timeline for reviews and increases in rate/hour. Contract Employer can order Trans-Continental Consultants, Inc., at any time during the employment, to remove any employee or number of employees without cause. Management will give as much advance notice as possible. Employees are more likely to be discharged for certain actions or inaction's including, but not necessarily limited to: dishonesty, poor performance, failure to follow directions, use of intoxicants or nonprescription controlled substances while on duty, or being under the influence of such while on duty, failure to follow work rules and other like violations. In other instances where the infraction appears to be of a less serious nature than that mentioned above, the Company will endeavor to identify the problems and give the employee an opportunity to implement correction. If the employee fails to comply, he /she will be suspended, or he/she will be discharged. If an employee decides to terminate employment, two weeks notice should be given. Where appropriate, uncompleted work, notes, files and all other company and/or Contract Employer materials and equipment must be returned to the Company and/or Contract Employer before a final paycheck will be issued. Any vacation due or owing will be adjusted with the final paycheck. If an employee resigns or is laid off before the completion of the month then he or she will assume 100% of the balance of the insurance premium for that month. Part time employees do not qualify for benefits. HOURS OF WORK The Contract Person as designated by the approved Agreement for Professional Services or his designee shall establish and approve regular work hours, reporting and work stop times, overtime and holiday work. Employees shall be paid based on the hours worked per week. For further explanation regarding hours eligible for overtime pay. See "Exhibit 1." Overtime will be paid at 1.5 times the regular hourly pay rate. Time worked on Sunday and holidays will be paid at 1.5 times the regular hourly pay rate. Employees working on a holiday shall be paid by Trans-Continental Consultants, Inc. for the holiday plus 1.5 times the regular hourly rate, for the hours worked on that holiday. HOLIDAYS Holidays observed by the City of Omaha that will also be observed by the employee are: New Year's Day Veterans Day Martin Luther King's Birthday Columbus Day President's Day Thanksgiving Day Memorial Day Friday Immediately Independence Day after Thanksgiving Day Labor Day Christmas Day Whenever a holiday falls on a Sunday, the following Monday will be holiday. Whenever a holiday falls on a Saturday, the proceeding Friday shall be a holiday. Employees will be eligible for holiday pay immediately upon their start of work for the City. If any of the approved holidays fall during an employee's vacation, the employee will still be paid for holidays as long as he or she continues employment after the vacation period. LEAVE OF ABSENCE A leave of absence may be taken anytime if an emergency should arise. If one finds they need to take more than two weeks off, the leave needs to be approved with your supervisor and you should also notify our office. During your absence, you will not be eligible for any benefits (sick, vacation or holiday). Your insurance will be continued, but you will be responsible for 100% of the premium until you return back to work. In the event you leave during the middle of the month, vacation and sick leave will not be considered completion of the month for calculation of vacation. Hence, you will not get credit for another day of vacation nor will you get credit for a holiday that may fall during that time. OTHER LEAVE No compensation shall be allowed for jury duty, service on boards of election, military leave, funeral leave, or any other type of leave, unless distinctly specified herein. ASSIGNMENTS If your current assignment ends, your benefits will also cease to exist. However, if you are put on another assignment through a different client or the same client, but with a broken service of duration spanning on or more months; your benefits will start again with zero accumulated hours. A new employee is only eligible during the first 90 calendar days of employment and therefore must sign up during this time if he/she desires to participate. There will be a 90-day waiting period before instating the policy and insurance will start the first of the month after said 90 days. We offer an election for employees to continue insurance after termination through Public Law 99-272 (COBRA). Trans-Continental Consultants, Inc. attaches a 2% handling charge to compensate for the time and attention taken to continue the terminated employee's coverage. Termination of insurance coverage takes effect at the end of the month of termination.
