The attached Resolution is submitted by the Law Department.
The Resolution authorizes extending the deadline for the City Council to respond to the formal
proposal submitted by Cox Communications Omaha, LLC, to renew its cable television franchise.
This extension is the"stand-still"agreement that has been discussed with you in executive session.
If this Resolution is adopted,the City and Cox will retain all the rights granted them by the federal
law that controls this renewal process. The Law Department and Cox will use this additional time
to finish the negotiations and prepare a final renewal contract for your consideration. Recent
discussions indicate that an acceptable contract can be reached through continued informal
negotiations. In the interim, Cox's cable television system will continue to operate without any
change.
If this Resolution is not adopted or some other City Council action taken before the December 19,
2011, federal law's deadline; the City will lose significant rights granted by that law and the
existing cable television franchise agreement.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS,in accordance with the Cable Communications Policy Act of 1984 the
City commenced formal proceedings to consider renewal of the cable television franchise held by
Cox Communications Omaha,L.L.C., ("Cox")by issuing a Formal Needs Assessment Report and
establishing a deadline for Cox's response to the Needs Assessment Report, and,
WHEREAS, on August 19, 2011, Cox submitted to the City the final portion of its
Formal Proposal for renewal of its cable television franchise (collectively the"Formal Proposal"),
commencing the four-month assessment period provided by 47 U.S.C. § 546(c)which is currently set
to expire on December 19, 2011, and,
WHEREAS,the City and Cox have continued to hold productive informal negotiation
sessions pursuant to 47 U.S.C. § 546(h) to reach agreement on the terms of a renewed franchise,
which have produced good faith offers to resolve the renewal issues informally and without
additional expense to the parties; and,
WHEREAS,Cox has requested that by mutual agreement the parties extend by three
(3)months the date by which Cox's Formal Proposal must either be accepted or preliminarily denied
by the City pursuant to 47 U.S.C. § 546(c)and this City Council finds that request should be granted.
NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
THAT,the Law Department is hereby authorized to execute a mutual agreement with
Cox Communications Omaha, LLC., to extend until March 19, 2012, the date by which Cox's
Formal Proposal for renewal of its cable television franchise must either be accepted or preliminarily
denied by the City pursuant to 47 U.S.C. § 546(c).
