Transmitted herewith is a Resolution approving an Interlocal Agreement with the County of
Douglas (the County) defining the responsibilities of the City of Omaha (the City) and of the
County in regard to the development and implementation of a more comprehensive solid waste
management program.
According to the Agreement, the City and the County will coordinate with each other regarding
programs, objectives and plans for all aspects of solid waste management throughout Douglas
County. This includes, but is not limited to designation of disposal site, recycling and diversion
strategies, and on-going development and implementation of the Environmental Element of the
City's Master Plan.
This Agreement also directs the City and the County to develop an initial plan for sustainable
management of solid waste systems and facilities. This initial plan will be utilized in the
Metropolitan Area Planning Agency-led process to update the 1994 Regional Integrated Solid
Waste Management Plan.
The Public Works Department requests your consideration and approval of the attached
Resolution and Interlocal Agreement.

INTERLOCAL COOPERATION ACT AGREEMENT
FOR COOPERATION, PLANNING, AND IMPLEMENTATION OF SOLID
WASTE MANAGEMENT PROGRAMS AND ACTIVITIES
THIS INTERLOCAL COOPERATION ACT AGREEMENT (hereinafter
referred to as "this Agreement") is made by and between the CITY OF OMAHA,
Nebraska (the CITY); and the COUNTY OF DOUGLAS, Nebraska (the
COUNTY); (hereinafter referred to collectively and variously as "the Parties,").
WHEREAS, pursuant to the Regional Integrated Solid Waste
Management Act (Nebraska R.S.S. 13-2000 to 13-2043) Cities and Counties in
Nebraska are responsible for the provision of solid waste management collection
and disposal services; and,
WHEREAS, the City has been a primary provider of"collection" services
both through its residential collection contracts and its licensing of private haulers
and the County has been the primary provider of "disposal" services in Douglas
County through its provision of solid waste landfills; and,
WHEREAS, the intent of this interlocal agreement is to develop and
implement a more comprehensive solid waste management program that
incorporates all aspects of solid waste management, including but not limited to,
recycling, diversion, and establishment of new markets for recycled products, all
that are in the best interests of, and accrue benefits to, the citizens of Douglas
County; and,
WHEREAS, the City and County wish to cooperate more fully on all
aspects of solid waste management within Douglas County, and,
WHEREAS, it is in the best interest of the citizens of Douglas County to
retain the value of the solid waste that is generated within Douglas County in
order to utilize that value in funding recycling, diversion, and other related
programs that are consistent with resource conservation goals; and,

WHEREAS, the newly-developed Environmental Element of the City's
Master Plan identifies resource conservation goals related to solid waste
management; and,
NOW, THEREFORE, the Parties agree to work in good faith to cooperate
and coordinate on solid waste management services through the general
framework as stated below:
1. The City shall take the appropriate steps to ensure that the solid waste
collection contracts under its authorization and control include provisions
that require the solid waste to be transported to the Douglas County
landfill for disposal.
2. The County shall take the appropriate steps to ensure that the solid waste
collection contracts under its authorization and control include provisions
that require the solid waste to be transported to the Douglas County
landfill for disposal.
3. The City and County shall develop an initial plan for the sustainable
management of solid waste systems and facilities. Such plan shall include
provisions for recycling and diversion, some of which will be based upon
the implementation items contained in the on-going development of the
Environmental Element of the City's Master Plan.
It is understood that the intent is to use the initial plan resulting from the
aforementioned item 3 as a portion of the update to the 1994 Regional Integrated
Solid Waste Management Plan. Said Plan is to be updated through a
cooperative process, coordinated and led by the Metropolitan Area Planning
Agency (MAPA).

Obiectives/Strategies
The following objectives and strategies will be implemented:
Objective 1. Identify and implement a mechanism to address the potential
liability of solid waste that is generated/processed in Douglas County but then is
transported for final disposal at a facility outside Douglas County and through
which the Parties have no control.
Strategy 1 a. Utilize the existing statutory authority of Douglas County and
the City of Omaha to direct all solid waste collected pursuant to County
and City contracts to the Pheasant Point Landfill. C & D, hazardous
waste, untreated medical waste, and asbestos would be exempted from
this directive, as would existing recycled materials.
Strategy 1 b. Expand upon the Strategy la to direct all solid waste
collected and/or processed within Douglas County (outside of municipal
limits) to the Pheasant Point Landfill and/or any other transfer station,
MRF, or disposal facility controlled by the City and/or County. C & D,
hazardous waste, untreated medical waste, and asbestos would be
exempted from this directive, as would existing recycled materials.
Objective 2. Capture the value of the solid waste generated/processed in
Douglas County to assist in funding a comprehensive and sustainable solid
waste program that includes, but is not limited to, diversion and recyclable
product market development.
Strategy 2a. Utilize portions of the revenues from the disposal of solid
waste at the Pheasant Point Landfill and other City/County facilities
identified in Strategy 1 a to assist in funding the comprehensive and
sustainable solid waste program.
Objective 3. Evaluate the economics and sustainability of establishing a system
of solid waste transfer stations/MRFs that would serve Douglas County. Such a
system could enable shorter runs by neighborhood collection vehicles, transfer of
solid waste to more efficient transfer trailers for transport to the County's
Pheasant Point Landfill, and a processing point for those materials that can be
diverted from disposal. Reduced vehicle traffic to the landfill, reductions in
regulated air pollutants, and an opportunity for more efficient routing/collection by
private solid waste haulers should result.
Strategy 3a. Conduct a needs assessment that would include but not be
limited to the identification of potential sites for transfer stations/MRFs.

Standard Provisions
Independent, Contractor. It is agreed that nothing contained herein is intended
or should be construed in any manner as creating or establishing a partnership or
joint venture between the Parties. Any and all acts that either Party or their
personnel, employees, agents, contractors, or servants, perform pursuant to the
terms of this Agreement shall be undertaken as independent contractors and not
as employees of the other. The Parties shall, except as provided herein, act in
their individual capacities and not as agents, employees, partners, joint ventures
or associates of the other. An employee or agent of one shall not be deemed or
construed to be the employee or agent of the other for any purpose whatsoever.
None of the Parties nor its personnel, employees, agents, contractors, or
servants shall be entitled to any benefits of the other. The Parties shall not
provide any insurance coverage to the other or their employees including, but not
limited to, workers' compensation insurance. Each Party shall pay all wages,
salaries and other amounts due its employees and shall be responsible for all
reports, obligations, and payments pertaining to social security taxation, income
tax withholding, workers' compensation, unemployment compensation, group
insurance coverage, collective bargaining agreements or any other such similar
matters. Neither Party shall have any authority to bind the other by or with any
contract or agreement, nor to impose any liability upon the other. All acts and
contracts of each shall be in its own name and not in the name of the other,
unless otherwise provided herein.
Interlocal Agreement Provisions. This agreement shall not create any
separate legal or administrative entity. It shall be administered jointly by the
parties, through one representative to be designated by each party. There shall
be no jointly held property as a result of this agreement. Each party shall
separately finance and budget its own obligations under this agreement. This
agreement does not authorize the levying, collecting or accounting of any tax.
Hold Harmless. The City shall assume all risk of loss and hold the County, its
employees, agents, assignees, and legal representatives harmless from all
liabilities, demands, claims, suits, losses, damages, causes of action, fines or
judgments and all expenses incident thereto, for injuries to persons, for civil
rights liability, and for loss of, damage to, or destruction of property arising out of
or in connection with this Contract and proximately caused by the negligent or
intentional acts or omissions of the City, its officers, employees, assignees, or
agents.
The County shall assume all risk of loss and hold City, its employees, agents,
assignees, and legal representatives harmless from all liabilities, demands,
claims, suits, losses, damages, causes of action, fines or judgments and all
expenses incident thereto, for injuries to persons, for civil rights liability, and for
loss of, damage to, or destruction of property arising out of or in connection with

Conflicts of Interest. In the performance of this contract, the parties shall avoid
all conflicts of interest and all appearances of conflicts of interest. The parties
shall immediately notify the other party of any such instances encountered so
that other arrangements can be made to complete the work.
Drug-Free Workplace. Each party certifies that it maintains a drug-free
workplace environment to ensure worker safety and workplace integrity and will
provide a copy of its drug-free workplace policy to the other party at any time
upon request.
Nondiscrimination Clause. In accordance with the Nebraska Fair Employment
Practice Act, Neb. Rev. Stat. §48-1122, each party agrees that neither it nor any
of its subcontractors shall discriminate against any employee, or applicant for
employment to be employed in the performance of this Agreement, with respect
to hire, tenure, terms, conditions, or privileges of employment because of the
race, color, religion, sex, disability, or national origin of the employee or
applicant.
New Employee Work Eligibility Status. The parties shall use a federal
immigration verification system to determine the work eligibility status of
new employees physically performing services within the State of
Nebraska. A federal immigration verification system means the electronic
verification of the work authorization program authorized by the illegal
Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C.
§1324a, known as the E-Verify Program, or an equivalent federal program
designated by the United States Department of Homeland Security or
other federal agency authorized to verify the work eligibility status of a
newly hired employee.
Termination. This Agreement may be terminated upon mutual written consent
of the parties or by either of the parties giving thirty (30) days written notice to the
other of its intention to terminate the Agreement.
Entire Agreement. This Agreement contains the entire agreement of the
Parties. No representations were made or relied upon by either Party other than
those that are expressly set forth herein. No agent, employee or other
representative of either Party is empowered to alter any of the terms hereof
except as provided herein.

Successors and Assigns Bound by Covenants. All covenants,
stipulations and agreements in this Agreement shall inure to the benefit of
the Parties hereto and extend to and bind the legal representatives,
successors, and assigns of the respective Parties hereto.
Waiver. Failure or delay by any Party to exercise any right or power under this
Agreement will not operate as a waiver of such right or power. For a waiver of a
right or power to be effective, it must be in writing signed by the waiving Party. An
effective waiver of a right or power shall not be construed as either a future or
continuing waiver of that same right or power, or the waiver of any other right or
power. In addition, any act by either Party which is it not obligated to do
hereunder shall not be deemed to impose any obligation upon that Party to do
any similar act in the future or in any way change or alter any of the provisions of
this Agreement.
No Third Party Rights. This Agreement is not intended to, nor shall it provide
third parties, excluding any assignment as provided herein, with any remedy,
claim, liability, reimbursement, cause of action or other right or privilege; except
that this Agreement's indemnification provision shall also inure to the benefit of a
Party's employees, officers, agents and servants.
Counterparts. This Agreement may be executed in two counterparts, each of
which shall be deemed an original, but all of which together shall constitute one
and the same instrument. Copies executed agreements shall be exchanged
between the Parties.

RESOLVED:
WHEREAS, the Regional Integrated Solid Waste Management Act (Nebraska
R.S.S. 13-2000 to 13-2043) holds Cities and Counties in Nebraska as responsible for
the provision of solid waste management collection and disposal services; and,
WHEREAS, the City of Omaha (the City), as primary provider of"collection"
services, and the County of Douglas (the County), as primary provider of"disposal"
services desire to increase efficiencies and cooperate more fully on all aspects of solid
waste management throughout Douglas County; and,
WHEREAS, the attached Interlocal Agreement, which by this reference becomes
a part herein, defines the responsibilities of the City and of the County in regard to the
development and implementation of a more comprehensive solid waste management
program, including, but not limited to, designation of disposal site, recycling and
diversion strategies, and on-going development and implementation of the
Environmental Element of the City's Master Plan.
NOW, THEREFORE, BE IT RESOLVED BY THIS BOARD OF
COMMISSIONERS, DOUGLAS COUNTY, NEBRASKA, THAT, the Interlocal
Agreement between the City of Omaha (the City) and the County of Douglas (the
County) regarding cooperation, planning, and implementation of solid waste
management programs and activities within Douglas County, induding, but not limited
