Jim Suttle,Mayor Public Works Director Honorable President and Members of the City Council, The attached Resolution approves the Subdivision Agreement between Douglas County School District No. 10, which is commonly known as the Elkhorn School District, and the City of Omaha. This Subdivision Agreement covers the public improvement of Sagewood West (Lots 1 and 2), a subdivision located Southeast of 180th and Fort Streets. The Agreement provides for the payment of Watershed Management fees of$69,280.00,to be paid by the Subdivider with the building permit. The Agreement provides for the payment of Interceptor Sewer fees of$103,452.36,to be paid by the Subdivider with the building permit. The Agreement provides for a contribution by the Elkhorn School District to the City in the amount of$50,000 toward the installation of traffic signals at the intersection of 180th Street&West Maple Road, to be paid prior to final plat approval. The Public Works Department requests your consideration and approval of the attached Resolution and Subdivision Agreement. WITNESSETH WHEREAS,the Subdivider is the owner of the land included within the proposed plat attached hereto as Exhibit"A",which parcel of land(hereinafter referred to as the"area to be developed")is outside the corporate limits of the City and within the City's zoning and platting jurisdiction; and WHEREAS,the Subdivider proposes to build public improvements in the area to be developed; and WHEREAS,the Subdivider wishes to connect the system of sanitary sewers to be constructed by the Subdivider,within the area to be developed,to the sewer system of the City; and WHEREAS,the parties wish to agree upon the public improvements to be constructed within the area to be developed or serving the area to be developed and the payment of the cost of same. NOW,THEREFORE,IT IS AGREED AS FOLLOWS: For the purpose of this Subdivision Agreement,the following words and phrases shall have the following meanings: A. The"cost"or"entire cost"of a type of improvement shall be deemed to include all construction costs,engineering fees, attorney fees,testing expenses,publication costs, financing costs and miscellaneous costs. In this connection,financing costs shall include all fiscal agent warrant fees and bond fees,and interest on warrants. Concrete paving of all streets dedicated per the plat(Exhibit"A"), all of said paving to be twenty-five(25)feet in width,except for those streets with a width greater than twenty- five(25)feet,which streets shall be extra-width paving,if any(approved by the Public Works Department),as shown on the public improvements plans prepared by Olsson& Associates,copies of which are attached hereto as Exhibit"B". B. Improvements to a portion of 180`h Street consisting of temporary construction easement acquisition,grading,utility relocation,preparation of subgrade, construction of a three (3)lane rural pavement section,intersection at Grand Avenue,installation and construction of storm and drainage facilities,and installation and construction of related improvements and appurtenances,pursuant to an Interlocal Agreement with Douglas County. Such improvements shall be as shown on the public improvements plans prepared by Olsson&Associates,copies of which are attached hereto as Exhibit"B". The Interlocal Agreement with Douglas County shall also provide for the Subdivider's $50,000.00 contribution to Douglas County towards the costs of turning lane and deceleration lane improvements to the intersection of 180' Street and West Maple Road, to be installed by Douglas County in the future. C. All sanitary sewer mains,manholes and related appurtenances constructed in dedicated " the same to be located as and easements per the plat(Exhibit A street rights-of-way ), shown on the public improvements plans prepared by Olsson&Associates, copies of which are attached hereto as Exhibit"B". D. Storm sewers,inlets,manholes and related appurtenances constructed in street right-of- ways and easements per the plat(Exhibit"A"),the plans and specifications for said storm sewer improvements to be approved by the City prior to starting construction of said improvements,and which are to be located as shown on the public improvements plans prepared by Olsson&Associates, copies of which are attached hereto as Exhibit"B". E. Water and gas distribution mains located within dedicated street right-of-ways dedicated per the plat(Exhibit"A")to be installed by the Metropolitan Utilities District. The contract with MUD will be provided as soon as available,but in no event longer than four(4)months from the date of execution of this Subdivision Agreement. F. Street lighting for public streets dedicated per plat(Exhibit"A")to be installed by the Omaha Public Power District. The contract with OPPD will be provided as soon as available,but in no event longer than four(4)months from the date of execution of this Subdivision Agreement. G. Underground electrical service to each of the lots in the area to be developed to be installed by the Omaha Public Power District. Sidewalks along both sides of all public streets within the area to be developed as shown on the public improvements plans prepared by Olsson&Associates, copies of which are attached hereto as Exhibit"B" shall be constructed by the Subdivider in conformance with Section 53-9 (9) according to the following schedule: 1. Sidewalks along the north side of Grand Avenue and the west side of 177th Street, shall be constructed by the Subdivider in conjunction with the construction of the Subdivider's public elementary school on Lot 1. 2. A sidewalk along the south side of Grand Avenue, shall be constructed by the Subdivider in conjunction with the construction of the Subdivider's public middle school on Lot 2. A ten(10)foot wide concrete trail shall be constructed and paid for by the Subdivider within the right-of-way on the east side of 180th Street and adjoining Lot 2. Said trail shall be constructed at the earlier of the following: 1. In conjunction with construction of the ultimate 180th Street pavement section abutting the Subdivision; 2. Should a pedestrian trail be constructed in conjunction with NRD Dam Site 15A that provides a connection from the Subdivision to Dam Site 15A; 3. Within five(5)years after the recording of the subdivision plat. J. Traffic-control devices,including signs and pavement markings required in the area to be developed and at intersections of the subdivision streets and adjacent major or collector streets as determined by the City Traffic Engineer, shall be installed by the Subdivider. K. The Subdivider agrees to grade the subdivision so that the elevation at the property line adjacent to 180th Street shall meet the proposed ultimate road profile established by Douglas County. Sections shall be submitted to the Douglas County Engineer and elevations certified by Olsson&Associates prior to recording the final plat. L. Post-construction stormwater management features and related appurtenances constructed in right-of-ways and lots per the plat(Exhibit"A"),the plans and specifications for said stormwater management improvements to be approved by the City prior to starting construction of said improvements,and which are to be located as shown on the post-construction stormwater management plan prepared by Olsson&Associates, a copy of which is attached hereto as Exhibit"C". The City has assigned a project number of OMA-20120418-497-P to this plan. M. Post-construction stormwater maintenance agreement to be approved by the City prior to starting construction of said improvements, a copy of which is attached hereto as Exhibit "C". C I- p C d .'~ d10 I WL^_ CF-iu'O7d 0. 2 NoLmro o. o • The maintenance agreement must include language to control when post-construction stormwater features are constructed, and differentiate between the requirements of construction site stormwater runoff controls and post-construction controls. The post- construction stormwater features shall not be installed until such time as they will not be negatively impacted by construction site runoff. Maintenance actions identified as private,to be performed by the property owner, shall run with the land and become the responsibility of any successors, assigns or future owners, as appropriate. N. A tornado warning siren as may be required by the Douglas County Emergency Management Agency pursuant to an Interlocal Agreement between the City and Douglas County. The terms and conditions of said Interlocal Agreement are incorporated herein and the Subdivider shall be required to comply with and fulfill all tornado warning siren obligations and requirements which may be imposed upon the Subdivider by the Douglas County Emergency Management Agency. SECTION II The parties agree that the entire cost of all public improvements set out in Section I herein shall be paid as follows: A. One hundred percent(100%) of the entire cost of all public improvements set out in Section I herein shall be paid by the Subdivider. B. The Sediment and Erosion Control Plan to be submitted to NDEQ and the Papillion Creek Watershed Partnership for compliance with NPDES regulations is attached hereto and incorporated herein as Exhibit"D", and one hundred percent(100%) of the entire cost of all improvements associated with said plan shall be paid by the Subdivider. PMRNRD must approve said plan prior to the City Engineer's second signature on the final plat. All silt basins are to remain in place until seventy-five percent(75%) of the drainage sub-basin serviced by these erosion control measures is fully developed, and with the written permission of the City Public Works Department authorizing their removal. Sediment removal shall be paid by the Subdivider.. C. The Subdivider agrees to pay the City the sum of$50,000.00 as its sole and entire contribution for the installation of a traffic control signal at the intersection of 180'h Street and West Maple Road. Such improvements will benefit the patrons of the Subdivider's public elementary and middle schools within the area to be developed,by improving the safety of said intersection. Such payment by the Subdivider shall be paid to the City prior to recording the final plat. D. Abide by and incorporate into all of its construction contracts the provisions required by the regulations of the City pertaining to construction of public improvements in subdivisions and testing procedures therefor. B. In the performance of this Subdivision Agreement,the Subdivider shall not discriminate against any parties on account of race,national origin, sex, age,political or religious affiliations in violation of federal or state laws or local ordinances. SECTION IV A. Subject to the conditions and provisions hereinafter specified,the City hereby grants permission to the Subdivider to connect its sewer system to the sewer system of the City for a period not to exceed ten(10)years,in such manner and at such place or places designated on plans submitted by the Subdivider and approved by the City. B. Upon the completion of any sanitary outfall sewer,if any,built by the Subdivider,the City shall be granted and it shall accept control and operation of the facility. The Subdivider shall convey by proper legal instrument all its rights,easements,title,and interest in such sanitary outfall sewer to the City. The form of acquisition shall be upon approved City forms. C. Without prior written approval by the City,the Subdivider shall not permit any sewer lines outside the presently described boundaries of the area to be developed,to be connected to the sewer or sewer lines of the Subdivider,any sewer from the boundaries of the area to be developed to the sewers of the City,any outfall sewer of the City,or any sewage treatment plant of the City. The City shall have exclusive control over connections to its sewers whether inside or outside the boundaries of the area to be developed. The Subdivider shall not collect charges for such connections. D. At all times, all sewage from and through the area to be developed into the City sewer system shall be in conformity with the ordinances,regulations,and conditions applicable . to sewers and sewage within the City as now exist and as from time to time may be amended. E. F. Notwithstanding any other provisions of this Subdivision Agreement,the City retains the right to disconnect the sewer of any industry,or other sewer user within the area to be developed,which is discharging into the sewer system in violation of any applicable ordinance,statute,rule or regulation. G. The Subdivider warrants that it has not employed or retained any company or person, other than a bona fide employee working for the Subdivider,to solicit or secure this Subdivision Agreement,and that it has not paid or agreed to pay any company or person, other than a bona fide employee working for the Subdivider, any fee, commission, percentage,brokerage fee,gifts,or any other consideration, contingent upon or resulting from the award or making of this Subdivision Agreement. For breach or violation of this warranty,the City shall have the right to annul this Subdivision Agreement without liability. The Subdivider shall require the same warranty from each contractor with whom it contracts in any way pertaining to its sewage system. The prohibition provided for herein shall not apply to the retention of an attorney or other agent for the purpose of negotiating the provisions of this Subdivision Agreement where the existence of such agency has been disclosed to the City. H. Subletting, assignment or transfer of all or part of any interest of the Subdivider hereunder is prohibited without prior written approval of the City. The Subdivider expressly agrees that it is and shall be: 1. Bound by and to any provisions of any ordinances,rules and regulations hereafter made and adopted by the City applicable to development areas whose sewers connect directly or indirectly with or into sewers or sewage systems of the City; and • 2. Bound by any terms and provisions which by ordinance,resolution or rule of the City shall hereafter adopt or provide as being applicable to or required in contracts with subdividers or in order to permit or continue the discharge of any sewage from a development area to flow into or through any part of the sewer or sewage system of the City. C I- p C d .'~ d10 I WL^_ CF-iu'O7d 0. 2 NoLmro o. o POST CONSTRUCTION STORMWATER MANAGEMENT PLAN MAINTENANCE AGREEMENT AND EASEMENT WHEREAS, Douglas County School District No. 10,which is also commonly known as the Elkhorn School District(hereinafter referred to as "the Property Owner")recognizes that stormwater management facilities (hereinafter referred to as "the facility" or "facilities")must be maintained for the development called the Sagewood West Subdivision located in the jurisdiction of the City of Omaha,Douglas County,Nebraska, and WHEREAS,the Property Owner is the owner of all of the lots in the Sagewood West Subdivision, depicted on Exhibit"A" (hereinafter referred to as "the Property"),and WHEREAS,the City of Omaha(hereinafter referred to as "the City")requires and the Property Owner,or its administrators,executors,successors,heirs, or assigns, agrees that the health, safety and welfare of the citizens of the City require that the facilities be constructed and maintained on the Property,and WHEREAS,the Post Construction Stormwater Management Plan,Public Works Department project number OMA-20120418-497-P (hereinafter referred to as "the PCSMP"),shall be constructed and maintained by the Property Owner, its administrators, executors, successors, heirs,or assigns. The facility or facilities shall be constructed by the Property Owner in accordance with the PCSMP,which has been reviewed and accepted by the City or its designee. 2. The Property Owner must develop and provide the BMP Maintenance Requirements, which are attached hereto as Exhibits "Al" and "B",which has been reviewed and accepted by the City or its designee. The BMP Maintenance Requirements describe the specific maintenance practices to be performed for the facilities and includes a schedule for implementation of those practices. The BMP Maintenance Requirements indicate that the facility or facilities shall be inspected by a qualified professional at least annually to ensure that it is operating properly. 3. The Property Owner and its administrators, executors, successors,heirs,or assigns, shall construct and perpetually operate and maintain, at its sole expense,the facilities in strict accordance with the attached BMP Maintenance Requirements accepted by the City or its designee. The Property Owner and its administrators, executors, successors,heirs, or assigns hereby grants permission to the City, its authorized agents and employees,to enter upon the Property to inspect the facilities whenever the City deems necessary. Whenever possible,the City shall provide notice prior to entry. The City shall indemnify and hold the Property Owner harmless from any damage by reason of the City's negligent acts during such entry upon the Property. 5. The Property Owner and its administrators, executors, successors,heirs, or assigns, agrees that should it fail to correct any defects in the facility or facilities within a reasonable time frame allowed in the issuance of written notice,or shall fail to maintain the facilities in accordance with the attached BMP Maintenance Requirements and with the law and applicable regulation or,in the event of an emergency as determined by the City or its designee in its sole discretion,the City or its designee is authorized to enter the Property to make all repairs, and to perform all maintenance, construction and reconstruction as the City or its designee deems necessary. The City or its designee shall then recover from the Property Owner any and all reasonable costs the City expends to maintain or repair the facility or facilities or to correct any operational deficiencies. Failure to pay the City or its designee all of its expended costs,after forty-five days written notice, shall constitute a breach of this Agreement. The City or its designee shall thereafter be entitled to bring an action against the Property Owner to pay, or foreclose upon the lien hereby authorized by this Agreement against the Property,or both. Interest, collection costs,and attorney fees shall be added to the recovery to the successful party. 6. The Property Owner shall not obligate the City to maintain or repair the facility or facilities, and the City shall not be liable to any person for the condition or operation of the facility or facilities. 7. The Property Owner and its administrators, executors, successors,heirs,or assigns, hereby indemnifies and holds harmless the City and its authorized agents and employees for any and all damages, accidents, casualties,occurrences or claims that may arise or be asserted against the City from the construction,presence,existence or maintenance of the facility or facilities by the Property Owner. In the event a claim is asserted against the City,its authorized agents or employees,the City shall promptly notify the Property Owner and the Property Owner shall defend at its own expense any suit based on such claim unless due solely to the negligence of the City in which event the City shall be required to defend any such suit at its own expense and the City shall indemnify and hold harmless the Property Owner and its officials,officers,employees and agents from any and all damages, accidents, casualties, occurrences or claims that may arise or be asserted against the Property Owner or its officials, officers,employees and agents due solely to the negligence of the City. The Property Owner shall not in any way diminish, limit,or restrict the right of the City to enforce any of its ordinances as authorized by law. 9. In case the ownership of the Property transfers,the current Property Owner shall,within thirty working days of transfer of ownership,notify the City Public Works Department of such ownership transfer. If the current owner fails to notify the City Public Works Department of ownership transfer, the responsible party in this Agreement will remain liable for all stormwater management costs and maintenance. Such former Property Owner shall have no liability to the City once it has given notice and upon receipt of notice the City Public Works Department shall provide written acknowledgment of receipt of such notice from the Property Owner. 10. This Agreement shall be recorded with the Register of Deeds of Douglas County, Nebraska and shall constitute a covenant running with the land and shall be binding on the Property Owner and its administrators,executors, successors,heirs,or assigns, including any homeowners association and any other successors in interest.
