The Professional Services Agreement between the City of Omaha,Nebraska(OWNER)and the
firm of Tetra Tech, Inc. a corporation of the State of Nebraska with offices at 12120 Port Grace
Blvd., Suite 102, Omaha,NE 68128 (ENGINEER), dated April 13, 2010 as Resolution No. 432,
for professional services for engineering study and design of sewer separation in the area of 26th
Street and Corby Street,is hereby amended as follows with:
Additional design phase services required for the preparation of engineering documents and
support of the bidding phase. A detailed description of the scope of work, services performed,
and compensation are included as Work Change Acknowledgement(WCA) #4 and WCA#5 in
Exhibits B and C, respectively.
Construction phase services including contract administration, field observation,and record
drawing preparation. A detailed description of the scope of work, services to be performed,and
compensation are included as Exhibits D.
Compensation for the services in this Amendment shall be on an hourly basis as outlined in the
Schedule of Rates included as Exhibit E. The maximum amount for the services covered by this
amendment shall not exceed $337,900 without prior written authorization by the City of Omaha.
This amendment shall not change any provisions of the original contract.
In accordance with the provisions of the April 13, 2010 Agreement,this Amendment is executed

Task 2—6,000 LF of additional smoke testing was performed at the City's request. This work required approximately 65

In October 2012,the 26th and Corby Phase 1 project area was altered to indude the southern portion of
the total 26th and Corby area. This resulted in different goals and objectives for the project,and at that
time Tetra Tech evaluated the estimated remaining work,schedule and budget. Based on the
anticipated scope at that time,it appeared that the remaining total budget would be sufficient to
accomplish the scope. Since October,the scope and schedule for the Phase 1 project has been
modified,and additional effort was needed to complete the requested tasks.
The attached spreadsheet shows the effort required to perform these additional tasks which were
outside the scope of services identified in October,or went well beyond the anticipated level of effort.
The following is a summary of effort related to the additional work items.
1. Alternative analysis to review different scenarios for storm,sanitary,sewer rehabilitation,and
water main. The original alternative analysis was completed in November,and additional
analysis was requested by the City. The additional analysis was completed in January. Work
also included additional modeling to evaluate the impact on these alternatives within and
outside of the project area. Coordination with MUD regarding water main replacement.
Approximately 300 hours.
2. Additional effort required to add storm sewer design and modify existing design,following
the decision to construct both new sanitary and new storm sewers. Induded addition of
approximately 20 drawing sheets including details,etc. Approximately 400 hours.
3. Modifications to road design on 24th Street including the addition of bump outs,road
narrowing,ADA ramps,sidewalk,parkway modifications,and coordination with removal and
sewer plans. This work primarily consists of redesign of work which was already performed.
Approximately 260 hours.
4. Additional project management and oversight required due to the extended project duration.
This time varies depending on actual project completion,but the current completion is
approximately 1-2 months later than originally anticipated.
5. An additional UDRB submittal was prepared for 24th Street to account for the overall changes
in the project. Also included an additional walkthrough with LIDRB staff. Approximately 70
hours. •
6. Green infrastructure analysis for 26th and Corby area. This analysis was performed in
conjunction with the EPA Community Partners project to evaluate an individual area for cost
effectiveness of green infrastructure for CSO control. Approximately 110 hours.
7. Modifications for implementation of green infrastructure at nodes and other appropriate
locations on 24th Street. Approximately 66 hours.

The 26th and Corby sewer separation project originally consisted of analysis of the entire 26th and
Corby area for sewer separation. In February 2011,the City indicated that the 26th and Corby area
would not have full sewer separation,and alternatives for a hybrid solution were reviewed. The
Phase 1 area was identified which would include partial separation of the area,which new outlets via
the 108-inch sewers to be constructed. In October 2012,the City indicated that the 108-inch sewers
would not be constructed to 26th and Corby,and the Phase 1 project changed from a sewer separation
project to remove storm flow,to a project that would attempt to solve local sewer backups and surface
flooding issues. This resulted in a new objective for the Phase 1 area,with a substantially different
scope of work. At that time,Tetra Tech evaluated the remaining budget and schedule,and indicated
that the budget remaining appeared sufficient to perform the anticipated work for the Phase 1 area.
This was based on completing the current design at the time with the additional area on 24th Street,
and reductions in design that would occur from not doing the remainder of the original Phase 1 area.
Additional effort(identified in items 1-7)was necessary to complete the analysis of the Phase 1 area,
which Tetra Tech was directed to perform at meetings and via email. In addition to the items noted
above,the extended duration and scope modifications required multiple minor changes,as well as
increased project management activities,travel,etc.

ENGINEER shall provide services during construction to the CITY as outlined in the task
descriptions described herein. Services during construction shall be based on the recently
completed Bidding documents, as approved by the CITY.
ENGINEER shall perform the services during construction in accordance with CITY and
CSO Program Plans, Protocols, Procedures, Standards, and Guidance Documents. These

TASK 10—ENGINEERING SERVICES DURING CONSTRUCTION
Objective: Provide assistance to the City, on an as requested basis, for Engineering
Services during construction.
Deliverables: As identified by the City during the construction phase.
Assumptions:The following assumptions are made regarding engineering services during
construction:
• Construction will begin in approximately April 2014
• Construction duration will be two full construction seasons, April—October 2014
and April—October 2015. Total duration is approximately 580 calendar days.
• Full construction management and observation will be provided by the CITY. The
ENGINEER shall not be responsible for construction observation, or
CONTRACTOR conformance to contract documents.
Scope:
10.1. SDC Project Execution Plan: Scope includes the preparation of a Project Execution
Plan by the ENGINEER to provide guidance to the ENGINEER staff and sub-
consultants and should include: Purpose, Project Background and Description, Team
Composition and Contact Information, Scope of Services, Project Schedule, Budget,
Confidentiality, Project Administration, and coordination with the City CM Plan.
10.2. Transition Meeting #2: Scope includes attendance at a Transition meeting with the
Program Management Team and CITY Construction Management(CM) staff. Review
Pre-Construction Meeting agenda, CM Plan, and SDC Execution Plan. Meeting
organized by the CM. Meeting documentation prepared by the CM.
10.3. Attendance at Pre-Construction Meeting: Scope includes attendance of up to two
staff from the ENGINEER's Project Team for a maximum duration of 4 hours each at
the pre-construction meeting with the Contractor to respond to questions related to the
various components of the project. No additional support hours needed as meeting will
be led by the CITY CM.
10.4. Pre-Construction Public Meeting: Scope includes:
a. Develop postcard mailer to distribute to the neighborhood affected by the
construction project; mail postcard and pay for postage.
b. Coordinate and arrange for the location of the Public Meeting, as approved by
the Construction Manager. Provide sign-in sheets, etc.
c. Prepare Powerpoint presentation materials for the Public meeting, as reviewed
and approved by the Construction Manager. Provide handouts, displays, etc.
d. Attendance of up to three members from the ENGINEER's Project Team at the
pre-construction public meeting to respond to any design specific
questions/inquiries from the public that the CITY/PMT staff may not be able to
answer.

10.5. Attendance at Weekly Meetings: Scope includes attendance of one person from the
ENGINEER's staff at the weekly meetings, as requested by the Construction Manager
on an on-call basis. Assume a maximum of 16 meetings related to the construction of
the sewer separation work described in the original Agreement,based on an average of
two (2) meetings per month for the anticipated duration of the construction.
10.6. Shop Drawing Review: Scope includes review of up to 20 shop drawings as
requested by the Construction Manager along with any submitted revisions or updates
from the Contractor. (Assume an average of 5 hours per shop drawing submittal,
including resubmittals. For Scoping the ENGINEER shall develop a complete list of
the anticipated shop drawings and note whether the shop drawing is to be reviewed by
the ENGINEER or the CITY CITY will review typical submittals submitted for sewer
separation projects. ENGINEER will review any submittals special to the Project.)
10.7. Request for Information (RFI) response: ENGINEER shall respond in a timely
manner to RFI's submitted by the Construction Manager to the ENGINEER that are
related to the sewer separation plans, specifications, procedures, and other Contract
Documents. This effort shall be based on responding to up to 2 RFI's per month for
the duration of construction and an average of 3 hours per RFI of ENGINEER staff
time. ENGINEER will access RFI information from the Program Sharepoint website
and respond to the RFI via the Program Sharepoint website.
10.8. Site Visits: Scope includes a maximum of 16 site visits by one person from the
ENGINEER's staff during construction to address on-call questions or concerns
initiated by the Construction Manager or the RFI process. Assume one (1) site visit per
month for a maximum 4 hour duration per site visit for the anticipated duration of the
construction.
10.9. Plan Change Assistance: ENGINEER shall provide necessary revised and sealed
plan sheets and/or specifications to address construction issues arising during
construction, as requested by the Construction Manager, that are related to the Project.
(ENGINEER staff effort associated with changes due to ENGINEER errors or
omission, are not reimbursable by the CITY.)
10.10. CADD As-Builts: After completion of construction and completion of CITY survey
of the completed work, the as-built information documented by CITY staff and the
Contractor as-built information will be provided to the ENGINEER. The ENGINEER
shall update the plan and profile sheets in AutoCad 2010 format(or in a later AutoCad
version) to reflect the handwritten plan record and survey information furnished by
CITY staff. ENGINEER shall provide these as-built revisions to the plan sheets and
any updated specification information to the CITY Project Manager in electronic
format within 28 calendar days from receipt of the information from the CITY. If the
CITY identifies any corrections required to the submitted information due to errors
made by the ENGINEER, the ENGINEER shall make such corrections to the
submittal at no additional charge to the CITY.
10.11. Substantial/Final Completion Walk Throughs: ENGINEER shall participate in the
Substantial Completion and Final walk through organized by the CITY with the
Contractor. CITY will prepare the punch list documentation based on the walkthrough.
CITY will verify completion of the Punch List items. (This effort shall be based on a

maximum of 2 staff from the ENGINEER for a maximum of 4 hours duration for each
of the substantial and final completion walkthroughs.)
TASK 11 -ADDITIONAL SERVICES
Additional services shall be provided only if approved by the CITY.
These additional services may include,but shall not be limited to:
8.1 Update Civil 3D and GIS. ENGINEER will update the Civil 3D network as part of
the CADD as-built process, export this information, and assist the City with
incorporation into the City's GIS system.
8.2 Migratory Bird Treaty Act (MBTA) Survey: ENGINEER will perform Migratory
Bird Treaty Act (MBTA) surveys in support of the construction of the Project. The
provisions of the MBTA are applicable to construction activities (clearing and
grubbing, tree removal, etc.) that may result in the taking of migratory birds, eggs, or
young and including active nests. The MBTA is applicable year round, but most
migratory bird nesting activities occur between April 1 and July 15. CITY will provide
a minimum of 48 hour notification prior to an anticipated need of a MBTA survey and
shall provide all direct coordination and interaction with the construction contractor.
a. Project areas that are surveyed during the nesting season and found devoid of active
nests will be cleared and grubbed within fourteen (14) calendar days of the survey
or an additional survey may be warranted.
b. Anticipated dates to conduct field surveys is between April 1 and July 15th
c. Efforts will be made to conduct surveys in the morning during the highest level of bird
activity.
d. Individual trees designated for clearing will be inspected individually.
e. Groups of trees less than 0.25 acre are inspected individually.
f. Groups of trees greater than 0.25 acre or 10 yards wide will be inspected by walking
parallel transects.
g. Brush/shrub areas are surveyed by looking at the brush from all sides.
h. If applicable, culverts and bridges will be visually inspected for the presence of nests.
i. Reporting
i. Provide verbal results of MBTA surveys to the Construction Manager within
one (1) hour after completion of the survey and a written report of MBTA
surveys within one week from completion of MBTA survey.
ii. Provide photographic documentation of survey area and GPS location of any
tree/shrub areas observed to be providing nesting habitat.
iii. Report to contain, surveyor name, date and time of survey, project location,
field observations and results, weather conditions, bird species observed,
location, number and species of active bird nests observed within the
construction area, and recommended actions.

SCHEDULE
ENGINEER agrees to complete Services During Construction listed in this
Exhibit, as necessary in context to the actual construction timing.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, an engineering services agreement with Tetra Tech, Inc. to perform
professional engineering services for the 26th Street and Corby Street Sewer Separation Phase 1
Project, known as OPW 51778 was approved by City Council Resolution No. 432 on April 13,
2010, and a subsequent Amendment 1 for final design services was approved by City Council
Resolution No. 1494 on December 13, 2011; and,
WHEREAS, additional design phase services are required for the preparation of
engineering documents and support of the bidding phase service not included in the scope of the
original Professional Services Agreement or the subsequent Amendment and are required to
accomplish construction goals on this project; and,
WHEREAS, Tetra Tech, Inc. has agreed to perform the additional services needed as
detailed in the attached Amendment No. 2 to the Agreement, which by this reference is made a
part hereof, for a total additional cost of $337,590.00, which will be paid from the Sewer
Revenue Improvements Fund 21124, CSO Control Implementation Organization 116918. Sewer
Revenue Bonds will be issued to finance this project.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
THAT, as recommended by the Mayor, Amendment No. 2 to the Professional Services
Agreement with Tetra Tech, Inc. to provide additional design and bid phase services to OPW
51778, being the 26th Street and Corby Street Sewer Separation Phase 1 Project, is hereby
approved.
BE IT FURTHER RESOLVED:
THAT, the Finance Department is authorized to pay an additional $337,590.00 for these
items, to be paid from the Sewer Revenue Improvements Fund 21124, CSO Control
Implementation Organization 116918. Sewer Revenue Bonds will be issued to finance this
project.
