HDR, Inc. has agreed to perform the services detailed in the Agreement, in the total amount of $41,349.00. HDR, Inc. has on file a current Annual Contract Compliance Report form (CC-1). As is City Policy, the Human Rights & Relations Director will review the contractor to ensure compliance with the Contract Compliance Ordinance. Finance Department is authorized to pay the Funds to HDR, Inc., from the Park Development/Community Park Fees Fund No. 12135 and Organization No. 132026, Culture & Parks. Curtiss a Date Mayor's Office Date Finance Director `ti l p:1996tmb PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is hereby made and entered into this day of , 2014, by and between the City of Omaha, a municipal corporation located in Douglas County, Nebraska (hereinafter referred to as the "City"), and HDR, 8404 Indian Hills Drive, Omaha, NE 68114.4098 (hereinafter referred to as the "Provider"), on the terms, conditions and provisions as set forth herein below. I. PROJECT NAME AND DESCRIPTION A. Suburban Parks Finance Plan Update II. DUTIES OF PROVIDER A. Provider agrees to perform professional services, as set out and more fully described in the Suburban Parks Finance Plan Update, October 24, 2014 attached hereto, for the City, relative to the above-referenced project. Such services shall be completed within a reasonable period after receipt of a purchase order from the City. B. Provider designates Jeremy Cook as its project manager and contact person for this project. C. Provider agrees to maintain records and accounts, including personnel, financial and property records, sufficient to identify and account for all costs pertaining to the project and certain other records as may be required by the City to assure a proper accounting for all project funds. These records shall be made available to the City for audit purposes and shall be retained for a period of five (5)years after the expiration of this agreement. D. Provider agrees to prepare a schedule of compensation, detailing hourly rates for all compensated providers, employees, and sub-consultants, a copy of which is provided in the attached Agreement For The Provision Of Limited Professional Services. E. Provider agrees to complete within Four(4) Months after receipt of a signed agreement and a formal notice to proceed from the City, all items discussed in the Scope of Services. The City recognizes that completion within this deadline is contingent upon timely meeting schedules and City input. Provider shall furnish the City with one (1) complete hard copy set of the final documents, including plans, specifications and meeting notes and one (1)complete Digital copy of all documents, including plans, specifications and meeting notes if applicable. Word documents and spread sheets shall be provided in the latest format of MS Word and Excel. Drawings, if applicable shall be provided in CAD format compatible with AutoCAD 2010. F. Provider shall be responsible for reviewing all project plans and specifications with appropriate departments and agencies for compliance with City ordinances, state and federal law, building, plumbing, electric and fire codes and other pertinent laws and regulations. III. DUTIES OF CITY Professional Services Agreement—Suburban Parks Finance Plan Update- HDR A. City designates Pat Slaven, ASLA, Park Planner II as its contact person for this project, who shall provide a notice to proceed and such other written authorizations as are necessary to commence or proceed with the project and various aspects of it. IV. COMPENSATION AND PAYMENT A. The cost of services as specified in the Scope of Services, shall be performed on an hourly basis, but in no event shall exceed Forty One Thousand Three Hundred Forty Nine Dollars and No Cents ($41,349.00). The hourly basis shall be as set out in Scope of Services, October 24, 2014.The express written consent of the City shall be required in order to exceed said amount. B. There are no Reimbursable expenses for Suburban Parks Finance Plan Update. C. Provider shall complete and return to the City a W-9 form, attached as Exhibit B, as required by the City• prior to any payments being made to the Provider. D. Provider shall submit periodic invoices to the City contact person, detailing services performed and the cost thereof. City shall pay such invoices within thirty (30) days after the date of the invoice. E. INCREASE OF FEES: 1. The parties hereto acknowledge that, as of the date of the execution of the Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: "Any amendment to contracts or purchases which taken alone increase the original fee as awarded a. By ten percent (10%), if the original fee is one hundred fifty thousand dollars ($150,000) or more, or b. By seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council." 2. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the City Council. The provisions of this section will be quoted in all future city contracts. Nothing in this section is intended to alter the authority of the Mayor under section 5.16 of the Charter to approve immediate purchases. V. OWNERSHIP Professional Services Agreerrient—Suburban Parks Finance Plan Update- HDR A. The City acknowledges the Provider's construction documents, including electronic files, as instruments of professional service. Nevertheless, upon completion of the services and payment in full of all monies due to the Provider, the final construction documents prepared under this Agreement shall become the property of the City. The City shall not reuse at another site or make • any modification to the construction documents without the prior written authorization of the Provider. The City agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Provider, its officers, directors, employees and sub-consultants (collectively, Provider) against any damages, liabilities or costs, including reasonable attorneys' fees and defense costs, arising from or in any way connected with the unauthorized reuse or modification of the construction documents by the City, regardless of whether such reuse or modification is for use at the Project site or another site. VI. ADDITIONAL SERVICES A. In the event additional services for the aforementioned project not covered under this agreement are required, Provider agrees to provide such services at a mutually agreed upon cost. VII. INSURANCE REQUIREMENTS A. Provider shall carry professional liability insurance in the minimum amount of five hundred thousand dollars ($500,000) and shall carry workers' compensation insurance in accordance with the statutory requirements of the State of Nebraska. VII I. INDEMNIFICATION A. The Provider agrees, to the fullest extent permitted by law, to indemnify and hold harmless the City, its officers, directors and employees (collectively, City) against all damages, liabilities or costs, including reasonable attorneys' fees and defense costs, to the extent caused by the Provider's negligent performance of professional services under this Agreement and that of its sub-consultants or anyone for whom the Provider is legally liable. The City agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Provider, its officers, directors, employees and sub- consultants (collectively, Provider) against all damages, liabilities or costs, including reasonable attorneys' fees and defense costs in connection with the Project, to the extent caused by the City's negligent acts or the negligent acts of anyone for whom the City is legally liable. Neither the City nor the Provider shall be obligated to indemnify the other party in any manner whatsoever for the other party's own negligence. IX. TERMINATION OF AGREEMENT A. This agreement may be terminated by the City upon written notice to the Provider of such termination and specifying the effective date at least seven (7)days prior to the effective date of such termination. In the event of termination, the Provider shall be entitled to just and equitable payment for services rendered to the date of termination, and all finished or unfinished documents, data surveys, studies, drawings, maps, models, reports or photographs shall become, at the City's option, its property. Professional Services Agreement—Suburban Parks Finance Plan Update- HDR X. GENERAL CONDITIONS A. Non-discrimination. Provider shall not, in the performance of this agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, political or religious opinions, affiliations or national origin or disability/handicap in the selection of sub-consultants, including procurements of materials and leases of equipment as recognized under 42 USCS 12101 et seq. and Omaha Municipal Code section 13-89. B. Captions. Captions used in this agreement are for convenience and are not used in the construction of this agreement. C. Applicable law. Parties to this agreement shall conform with all existing and applicable city ordinances, resolutions, state laws, federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this agreement. D. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the agreement voidable by the Mayor or Council. E. Interest of the Provider. The Provider covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict with the performance of services required to be performed under this agreement; he further covenants that in the performance of this agreement, no person having any such interest shall be employed. F. Merger. This agreement shall not be merged into any other oral or written agreement, lease or deed of any type. This is the complete and full agreement of the parties. G. Modification. This agreement contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. H. Assignment. The Provider may not assign its rights under this agreement without the express prior written consent of the City. I. Strict compliance. All provisions of this agreement and each and every document that shall be attached shall be strictly complied with as written, and no substitution or change shall be made except upon written direction from authorized representative. Professional Services Agreement—Suburban Parks Finance Plan Update-HDR J. Contract compliance Ordinance No. 35344, Section 10-192— Equal Employment Opportunity Clause. During the performance of this contract, the Consultant agrees as follows: 1) The Consultant shall not discriminate against any employee applicant for employment because of race, religion, color, sex, age, sexual orientation, gender identity, disability, or national origin as defined by the Americans With Disabilities Act of 1990 and Omaha Municipal Code 13-89. The Consultant shall take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, religion, color, sex, age, sexual orientation, gender identity,disability, or national origin. The Consultant shall take all actions necessary to comply with the Americans With Disabilities Act of 1990 and Omaha Municipal Code (Chapter 13) including, but not limited to reasonable accommodation. As used herein, the word "treated" shall mean and include, without limitation, the following: Recruited, whether advertising or by other means; compensated; selected for training; laid off; and terminated. The Consultant agrees to and shall post in conspicuous places, available to employees and applicants for employment, notices to be provided by the contracting officers setting forth the provisions of this nondiscrimination clause. 2) The Consultant shall, in all solicitations or advertisements for employees placed by or on behalf of the Consultant, state that all qualified applicants will receive consideration for employment without regard to race, religion, color, sex, age, sexual orientation, gender identity, disability, or national origin. 3) The Consultant shall send to each labor union or representative of workers with which he has a collective bargaining agreement or other contract or understanding a notice advising the labor union or worker's representative of the Consultant's commitments under the equal employment opportunity clause of the City and shall post copies of the notice in conspicuous places available to employees and applicants for employment. 4) The Consultant shall furnish to the contract compliance officer all federal forms containing the information and reports required by the federal government for federal contracts under federal rules and regulations, and including the information required by section 10-192 to 10-194, inclusive, and shall permit reasonable access to his records. Records accessible to the contract compliance officer shall be those which are related to paragraphs (1) through (7) of this subsection and only after reasonable notice is given the Consultant. The purpose of this provision is to provide for investigation to ascertain compliance with the program provided for herein. Professional Services Agreement—Suburban Parks Finance Plan Update-HDR 5) The Consultant shall take such actions with respect to any sub-consultant as the city may direct as a means of enforcing the provisions of paragraphs (1) through (7) herein, including penalties and sanctions for noncompliance; however, in the event the Consultant becomes involved in or is threatened with litigation as the result of such direction by the City, the City will enter into such litigation as is necessary to protect the interests of the City and to effectuate these provisions (of this division); and in the case of contracts receiving federal assistance, the Consultant or the City may request the United States to enter into such litigation to protect the interests of the United States. 6) The Consultant shall file and shall cause his sub-consultants, if any to file compliance reports with the Consultant in the same form and to the same extent as required by the federal government for federal contracts under federal rules and regulations. Such compliance reports shall be filed with the contract compliance officer. Compliance reports filed at such times as directed shall contain information as to the employment practices, policies, programs, and statistics of the Consultant and his sub-consultants. 7) The Consultant shall include the provisions of paragraphs (1) through (7) of this section, "Equal Employment Opportunity Clause," and section 10-193 in every subcontract of purchase order so that such provisions will be binding upon each sub-consultants or vendor. K. New Employee Work Eligibility Status—LB 403 Contract Provisions. 1) The Consultant is required and hereby agrees to use a federal immigration verification system to determine the work eligibility status of new employees physically performing services within the State of Nebraska. A federal immigration verification system means the electronic verification of the work authorization program authorized by the Illegal Immigration Reformation and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a, known as the E-Verify Program, or an equivalent federal program designated by the United States Department of Homeland Security or other federal agency authorized to verify the work eligibility status of a newly hired employee. 2) If the Consultant is an individual or sole proprietorship, the following applies: a. The Consultant must complete the United States Citizenship Attestation Form, available on the Department of Administrative Services website at www.das.state.ne.us. If the Consultant indicates on such attestation form that he or she is a qualified alien, the Consultant agrees to provide the US Citizenship and Immigration Services documentation required to verify the Consultant's lawful presence in the United States using the Systematic Alien Verification for Entitlements (SAVE) Program. c. The Consultant understands and agrees that lawful presence in the United States is required and the Consultant may be disqualified or the contract terminated if such lawful presence cannot be verified as required by Neb. Rev. Stat. §4-108. L. Independent Contractor. It is understood and agreed by and between the parties that any and all acts that the Provider or its employees, agents, contractors, or servants perform pursuant to the terms of the Agreement shall be undertaken as independent contractors and not as employees of the City. Neither Provider nor any of its employees or agents shall be construed to be the employee or agent of the City for any purpose whatsoever. Provider shall not be entitled to any benefits of the City. The City shall not provide any insurance coverage to the Provider or its respective employees including, but not limited to workers' compensation insurance. Provider and the City shall be responsible for all reports, obligations, and payments pertaining to social security taxation, income tax withholding, workers' compensation, unemployment compensation, group insurance coverage, collective bargaining agreements, or any other such similar matters. Provider shall have no authority to bind the City by or with any contract or agreement, nor to impose any liability upon the City. All acts and contracts of the Provider shall be in its own name and not in the name of the City, unless otherwise provided herein. (HDR) to provide professional services to the City of Omaha Parks, Recreation, and Public Property Department (Department) for an update of the finance plan of the Department's Suburban Parks Master Plan. The Suburban Parks Master Plan was implemented in 2001. The plan included three types of facilities: neighborhood parks; community and regional parks; and trails and boulevards with respective fees for each type. The fees were designed to cover the cost of development for each park. The Department completed its first update to the plan in 2011. For the update, the Department contracted with HDR to perform a comprehensive review and update to the finance plan. For the update, HDR developed a financial model to assess the adequacy of funding and evaluate alternative financial strategies. The 2011 update concluded with wholesale revisions to the fees which support the development of each facility type. In addition the plan concluded that comprehensive updates should be completed every 3 years. The Department is currently in the process of preparing the 2014 Suburban Parks Master Plan update. The scope of work is segmented into five (5) task series: Task Series 100— Project Management Task Series 200— Data Collection Task Series 300—Sources and Uses of Funds Analysis Task Series 400—Stakeholder Meetings Task Series 500 -- Reporting The HDR Team proposes to provide the following professional services over an anticipated 4- month project period beginning with the Notice to Proceed. HDR Activities: Task 110 Project Management. This task includes preparation of project management plan, project schedule and administration and coordination activities on the project. HDR will prepare monthly invoices and progress reports. QA/QC will be conducted by appropriate professionals on all deliverables. Task 120 Progress Meetings. Schedule and conduct no more than three (3) monthly progress meetings with the Department Project Team. Task Deliverables: • Project Management Plan • Meeting agendas and minutes • Monthly invoices and progress reports Key Understandings: • No kickoff meeting will be held, the scoping meeting held in late September will serve as a project kickoff meeting • One (1) HDR staff will attend three (3) monthly progress meetings. • Project schedule will follow the Parks Department Suburban Parks Master Plan update schedule. The expected duration is 4 months. TASK SERIES 200 - DATA COLLECTION Task Objectives: Collect pertinent background information for a sources and uses of funds analysis. Background information include but are not limited to: historical and projected development for the City of Omaha; existing park facilities funding balances; historical fee collections; and records of parks constructed to date. Task 210 Review 2011 Update In preparation for the update, HDR will review materials and models developed for the 2011 update. HDR will document key assumptions and inputs used in the previous update for discussion with the Department. Task 220 Existing Needs Assessment. In this task, HDR will collect data to determine existing financing needs. TASK SERIES 300 - SOURCES AND USES OF FUNDS ANALYSIS Task Objective: Determine current and projected funding needs and opportunities of the Department with regard to park-related development. Task 310 Review of Prior Performance HDR will review information from the data collection task and prepare a summary of the historical performance of the 2011 update funding strategies. The review will include an assessment of net fund balances for the period 2011 to 2014. The review will evaluate revenue sufficiency based on expenditures for parks over the period 2011 to 2014 and fees collected through the same period. Task 320 Sources and Uses of Funds In this task, HDR will develop an MS Excel based Financial Model to evaluate funding needs for the suburban parks. Key assumptions will be updated from the 2011 financial model in coordination with the Department. HDR will work with the Department to review and forecast sources of funds for S&ID park-related activities. In addition constraints and opportunities for funding sources will be documented. HDR will reconcile the sources identified in Task 310 with appropriate park uses over a four year period. Task 330 Pro Forma Scenarios The model developed under task 320 will be used to evaluate up to three (3) opportunity scenarios for the parks plan given the constraints identified in Tasks 300 and 400. HDR will use the scenarios to estimate proposed revisions to fees and fee structures. Scenarios will then be presented to stakeholders under task 410. • Up to three (3) opportunity scenarios will be completed. • HDR will conduct one (1) meeting to review findings from task 330 prior to presentation to stakeholders. TASK SERIES 400 — STAKEHOLDER MEETINGS Task Objective: Work with key stakeholders to identify how the current fees structure is performing, identify desired modifications as necessary, and obtain input on funding requirement changes as necessary for the parks plan. Task 410 Focus Group Meeting HDR will attend the Suburban Parks Master Plan Focus Group meeting to gain input on the current fee structure, and present findings on the current fund status identified in Task 310. This task will provide input for tasks 320 and 330. Key Understandings: • HDR will attend and present at one (1) focus group meeting • HDR will attend one (1) meeting with Department staff to debrief from the focus group meeting. • The PowerPoint Presentation will be reviewed at a Monthly Progress Meeting prior to the focus meeting. • The Department will identify individuals to be involved in the Task and Focus Group, invite participants, and host the meetings. TASK SERIES 500 — Reporting Task Objective: Provide the Department with funding recommendations and an implementation plan. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: THAT, as recommended by the Mayor, the Professional Services Agreement between the City of Omaha and HDR, Inc., in the total amount of$41,349.00, to review current fee structure for the Omaha Suburban Park System Master Plan and determine if existing fees need to change based on land and development costs, land availability, and input from the development community.
